Terms & Conditions of Trading

 


Lampfix (The Company) transacts business only subject to the following conditions. No purchaser’s conditions shall override these.

1. Title and Risk

Title to the goods shall not pass to the Purchaser until the invoice price and any other money is paid in full, although risk in the goods passes to the Purchaser on receipt.

2. Delivery

Although every effort will be made to fulfil delivery dates, no liability arising from delay is accepted by the company.

3. Damage, Shortage, Non-Delivery

Any shortages or discrepancies must be reported within 3 days of delivery and confirmed in writing within 7 days of delivery or no claims will be accepted by the Company.

It is the responsibility of the Buyer to examine goods for defects in materials and/or workmanship which are likely to cause damage or injury.

4. Terms of Payment, Bankruptcy, Liquidation

Payment is STRICTLY net and due on presentation of invoice, unless full prepayment has been made or a different payment term has been expressly agreed.

The Purchaser agrees to accept a surcharge of any expenditure incurred by the Company if the Company decides to instruct a third party to attempt to collect on behalf of the Company any overdue amount owing to it. Also, the Company shall give to the third party any necessary information about the purchase to enable the sums to be collected. Should the purchaser make any breach of obligation to the Company or any bankruptcy be filed by or against the purchaser or be unable to pay debts within the meaning of the insolvency act 1986 the Company shall have the right forthwith to cancel any subsisting contract and stop any outstanding deliveries without remedy or consequential loss through non completion of contract.

5. Special Orders

Any order specially produced or altered items may not be cancelled or returned.

6. Waivers

No waiver by the Company, in any one, or more instances, in insisting on its rights under these conditions shall be construed as a future waiver or relinquishment of its rights and the Purchaser’s acceptance of the Company’s conditions of sale shall continue in full force and effect.

7. Liability

The Company shall not be liable to the Buyer for damage to goods or injury to persons resulting from negligent or improper use or handling of goods by the customer, his employees or agents, or members of the general public.

The Company shall not be liable to the buyer for any loss of profit or contracts or other consequential loss of any kind contingent upon acts or omissions of the company however caused.

Illustrations, descriptions, weights are taken as a guide only and are not binding in detail. The Company reserves the right, without notice and without affecting the validity of the contract to make changes in materials, dimensions, design and prices as are reasonable or desirable.

Advice, information and opinion given by any employee or agent of the Company is given without legal responsibility. Any recommendation or suggestion relating to the goods made or supplied by the company either in technical literature or in response to specific enquiry, in given in good faith, but it is for the Buyer to satisfy himself of the suitability of the goods for his particular purpose, and he shall be deemed to have done so.

8. Returns

All returns must be accompanied by the correct returns paperwork available from the Company on request in order for credit to be raised against the returns.

9. Your personal information

Our website includes areas where you are requested to provide information about yourself. Any personal data you provide to us through our website or by telephone, post, fax, email or in person shall be subject to the terms of our Privacy Policy which also forms part of these terms.

10. Force Majeure

Neither party shall be liable to the other party for the delay in any performance or failure to render any performance under this Agreement when such failure or delay is caused by governmental regulations, fire, strike, war, flood, accident, epidemic, embargo, appropriation of plant or product in whole or in part by any government or public authority, or any other cause or causes, whether of like or different nature, beyond the reasonable control of such party as long as such cause or causes exist.

11. General

These terms and the use of our website and its content shall be governed by and construed in all respects in accordance with English law. We and you agree that the English courts shall have exclusive jurisdiction to settle any claims or proceedings relating to these terms or their subject matter.
